Cross posted from B&I. Really need to find someone who could take a look tomorrow, happy to pay.

Howdy. Can anybody recommend an attorney to review a job offer and employment contract? It's for a Sales/BD role in defense tech. I don't know if locality matters, but this is in Virginia, thought it's a national role.

I'm happy to pay for services, just want someone to catch any red flags I may have missed.

Can anyone offer advice then on how/if to negotiate down restrictive covenants?

This is a sales director role and the entire country is the territory for now (mid sized startup expanding US presence). The agreement pretty much restricts any and all activity that directly or indirectly directly competes with the company for 12 months nation-wide. I don't want to label myself a flight risk from day 1, but this also seems overly restrictive, especially since it would be in place in any termination scenario, including without cause.

Ask for a signing bonus equivalent to 12 months of salary. After they tell you no, ask them how many months of your time after your employment ends they would like to pre-purchase.

Not a lawyer, but a noncompete that covers the entire US and both direct and indirect competition is likely not enforceable. Unfortunately the way this would work in practice would be that you'd have to fight it after the fact if you leave and end up with a new job with a company that is deemed a competitor at some point in the future.

It's a nice thought but isn't an option after a certain point if you're in corporate America.
