Not necessarily defending it, but they've both done the necessary things to fully separate control (voting) despite common ownership. That's what the rule is really about - voting rights/control. It's also how Leipzig passed the Bundesliga 50+1 rule… they are fully controlled by "the club" - it just so happens that "the club" is an exclusive group of ~20 rich dudes from Red Bull.
It's pretty well-documented what it takes to pass the scrutiny, so it's madness that any multi-owner situation isn't doing what it takes to check the boxes. But in truth, even the paper-whipping does require legally giving up some control, so if this dude is an a-hole who trusts no one but himself, it's possible he's unwilling to go through the legal motions and give some power to someone else.
